Terms of Service
Version 2026-09-18 · Licensed Portal, Starter, free tool, plug-in
American National Commercial Real Estate Services, INC., a Florida corporation, 3465 S. Arlington Road, Suite E #183, Akron, Ohio 44312 (“American National,” “we,” “us”). American National holds the Proofle trademark and copyright. “American National … LLC” is a DBA; the contracting party is the INC.
Then-current prices, if omitted from this page, are on the pricing page or the Order Form. This document becomes binding when published at proofle.com/terms.html and accepted.
PART A — TERMS THAT APPLY TO EVERY USER
1. Acceptance
By creating an account, clicking “I agree,” running a review, installing the plug-in, or otherwise using Proofle, you agree to these Terms and to the Privacy Policy. If you use Proofle for an organization, you represent that you can bind that organization, and “you” and “Customer” mean that organization and its authorized users. If you do not agree, do not use Proofle.
2. What Proofle is — and is not
Proofle is a first-pass quality-assurance software tool. It reads an ALTA/NSPS land title survey (PDF) together with its title commitment and, when supplied, a zoning report, and returns a checklist review. Each item is marked PASS, FAIL, RECOMMEND, or N/A, with a short reason and a sheet reference.
Proofle is a first-pass aid. It flags items for your review. It does not certify the survey. The surveyor’s certification and the attorney’s or examiner’s review are unchanged. The final review is your team’s.
Proofle is not a land survey or certification; not an examination of title or title opinion; not legal advice or the practice of law; not the practice of professional land surveying in any state; not a representation that a survey is sufficient for a closing, loan, or insured transaction; and not a professional-services engagement with American National, except where you separately purchase an Adjudicated Review, if offered, under Part D.
No use of Proofle creates a professional-services, surveyor-client, or attorney-client relationship.
3. Meaning of PASS, FAIL, RECOMMEND, and N/A
These labels are software checklist outputs, not findings of fact and not professional opinions.
- PASS means only that the software did not flag the checklist item on the documents supplied. It does not mean the item is correct, complete, or verified.
- FAIL means the software flagged a possible discrepancy or omission for human review. It does not mean the item is defective.
- RECOMMEND means the software suggests a human look at the item. It is not a required revision.
- N/A means the software treated the item as not applicable on the documents supplied.
You will not treat a PASS as “verified,” “certified,” “clean,” or “ready to close.” You will not represent a Proofle output as American National’s professional opinion or as a certification of the survey.
4. Reports travel with this disclaimer
Every Proofle report — on screen, exported, emailed, or summarized — is an “Output.” The Report Disclaimer in Exhibit A is part of the Output. You may copy an Output only with that disclaimer attached.
5. No third-party beneficiaries
These Terms are for American National and the Customer only. Lenders, borrowers, sellers, buyers, title insurers, other counsel, and any other person who is not the Customer have no rights under these Terms and may not rely on an Output.
6. Customer content; no retention; no training
“Customer Content” means the PDFs and files you upload or transmit and any project identifiers you type. You grant American National a limited license to transmit, decrypt, process, and display Customer Content solely to provide the requested review. That license ends when processing of that request is complete.
Documents are transmitted encrypted, processed transiently to produce the review, and discarded on completion. They are never retained and never used to train or improve any model. Only operational metadata (timestamps, counts, project identifiers you typed) and the terms-acceptance record are kept.
You represent that you have the right to upload Customer Content and that it does not violate law or a third party’s rights.
7. Acceptable use
You will not:
- share logins or seats, or permit persons outside your organization to use a seat issued to you;
- exceed published rate limits or usage caps;
- reverse engineer the Service;
- access or use the Service or any Output to develop, train, validate, or benchmark a product or service that competes with Proofle, or to copy or reproduce the compiled Proofle checklist, unpublished rules, finding language, or report design. This restriction does not apply to independent development that does not use the Service or Outputs. This restriction does not apply to use of the public ALTA/NSPS Minimum Standard Detail Requirements or other public standards;
- disclose Outputs, unpublished rules, or finding language to a person you know is developing a product that competes with Proofle;
- access the Service by automated means other than the published plug-in and interfaces under your own credentials, or collect Outputs in bulk or systematically other than in the ordinary course of reviewing your own projects (including projects you perform for your clients);
- upload malware or content that is unlawful to possess or transmit;
- remove the Report Disclaimer, or represent an Output as a certification, a survey, legal advice, or American National’s professional opinion; or
- hold out a Proofle Output as your professional work product.
You agree that a breach of the competing-product, disclosure, or automated-collection restrictions in this Section would cause irreparable harm for which money damages are not an adequate remedy, and that American National may seek injunctive relief to the extent a court will allow.
7A. Ownership
American National owns the Service, the software, the compiled Proofle checklist, the unpublished rules, the finding language, and the report format. You own Customer Content. Subject to these Terms, you may use Outputs for your own projects, including reviews you perform for your clients. No license is granted to copy the Service or to use the Service or Outputs to develop a competing product, except as Part A §7 expressly allows.
8. Published performance figures
From time to time American National publishes a historical “wrong-FAIL rate”: the share of checklist items that an experienced American National reviewer had marked as passing on the same survey and that Proofle marked FAIL, measured on a defined weekly production cohort, with the date and the item count. That figure is a historical measurement on that cohort. It is not a warranty, not a guarantee of future performance, not a measure of completeness, and not a representation that Proofle will catch every issue a reviewer would catch. Proofle is designed as a first pass with partial recall. No published rate is a service level.
9. Third-party platforms
The Autodesk Civil 3D plug-in is also subject to Autodesk’s terms. Stripe processes cards under Stripe’s terms. Hosting, document extraction, model APIs, and email are provided by subprocessors listed in the DPA. Autodesk does not receive Customer Content; the plug-in sends documents to Proofle. Outages on those platforms are not a breach by American National.
10. Disclaimer of warranties
PROOFLE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMERICAN NATIONAL DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING.
AMERICAN NATIONAL DOES NOT WARRANT THAT AN OUTPUT WILL BE COMPLETE OR CORRECT, THAT A PASS MEANS AN ITEM IS VERIFIED, OR THAT USE OF PROOFLE WILL SATISFY ANY CLOSING INSTRUCTION, LENDER REQUIREMENT, TITLE REQUIREMENT, OR PROFESSIONAL STANDARD.
11. Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only to perform under these Terms. Customer Content is your confidential information. Pricing, non-public product design, unpublished rules, and evaluation methods are ours.
12. Changes
If we change these Terms in a way that materially reduces your rights, we will give at least 30 days’ notice to the email on the account or to support@proofle.com notices. Continued use after the effective date is acceptance. If you do not agree, stop using the Service; a paid customer may terminate for that change and receive a pro-rata refund of unused prepaid fees. Price changes are governed by Part B §6.
13. Governing law and venue
These Terms are governed by the laws of the State of Ohio, excluding conflict-of-law rules. Exclusive venue lies in the state courts of Summit County, Ohio, or the U.S. District Court for the Northern District of Ohio. EACH PARTY WAIVES A JURY TRIAL AND AGREES THAT CLAIMS MUST BE BROUGHT INDIVIDUALLY. Florida law continues to govern the internal affairs of the Florida corporation.
14. Miscellaneous
These Terms, the Privacy Policy, any Order Form, a signed DPA, and Exhibit A are the entire agreement on Proofle software and replace the 23 June 2026 terms. Notices to us: support@proofle.com and the Akron address above. Privacy questions: privacy@amnational.net. Notices to you: the email on the account. You may not assign without our consent except to a successor of substantially all your business.
PART B — PAID PLANS AND THE LICENSED PORTAL
Part B applies if you buy Starter, Pro, Firm (including Founding Firm), or otherwise use a paid Proofle plan or the Licensed Portal at proofle.com/app.
1. License; seats; no sharing
Subject to these Terms and timely payment, American National grants you a limited, non-exclusive, non-transferable, non-sublicensable license during the subscription term to use the features of your plan and to permit Authorized Users to do so.
An “Authorized User” is a natural person who is your employee or individual contractor, for whom a seat is provisioned, and who accepts these Terms. Seats are named or email-link seats. You will not share credentials or forward magic links to persons who are not Authorized Users.
Starter and Pro are licensed per user. Firm includes up to ten Authorized Users; additional users are billed at the then-current add-on rate stated on the pricing page or Order Form. Starter includes the plug-in and the web tool only. It does not include the Licensed Portal (no sign-in review history and no monthly summary).
2. Usage caps
- Free, no account: 2 reviews per month, with technical rate limits.
- Free, with account: 3 reviews per month per account.
- Starter: 10 reviews per user per month.
- Pro: the monthly allowance on the pricing page or Order Form.
- Firm: a pooled 150 reviews per month; reviews above the pool are billed at the per-review rate stated on the pricing page or Order Form, invoiced monthly in arrears.
A “review” is one processed survey package that returns an Output. Re-runs we initiate for our evaluation set do not count against you.
3. Plans (as of 16 September 2026)
Public pages may omit dollar figures and point to the pricing page or an Order Form until self-serve checkout is live.
4. Billing
Starter and Pro are billed by card through Stripe, monthly or annually as offered at checkout. Firm is billed by invoice unless the Order Form uses Stripe. You authorize American National and Stripe to charge the payment method on file for recurring fees, overage, taxes, and add-on seats.
Subscriptions auto-renew for successive terms of the same length unless you cancel before the renewal date through the account tools or by notice to support@proofle.com. Cancellation stops renewal; it does not refund the then-current term except as §5 or Part A §12 requires.
Fees are exclusive of taxes. You are responsible for sales, use, and similar taxes other than taxes on our net income.
5. Refunds
Except where required by law, or where you terminate under Part A §12 because of a material adverse change, fees are non-refundable.
6. Price changes
We may change prices on 30 days’ notice to the account email. The new price applies at the next renewal. A Founding Firm rate survives for its locked term as stated in that addendum.
7. Term, suspension, termination
The subscription starts on the checkout or Order Form effective date and renews as above. Either party may terminate for material breach if not cured within 15 days after notice (immediately for seat-sharing, stripping disclaimers, use of the Service or Outputs in breach of the competing-product, disclosure, or automated-collection restrictions in Part A §7, or non-payment more than 10 days past due). On termination the license ends and Customer Content is discarded consistent with Part A §6 and the DPA.
8. Limitation of liability (paid tiers, including Starter)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, COST OF SUBSTITUTE SERVICES, OR CLOSING DELAY.
EXCEPT FOR THE EXCLUDED CLAIMS BELOW, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THE SOFTWARE SERVICE AND THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SUBSCRIPTION THAT GAVE RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) TWENTY-FIVE THOUSAND DOLLARS (US $25,000).
“Excluded Claims” are: (i) a party’s breach of confidentiality (direct damages only); (ii) your unpaid fees; (iii) a party’s indemnification obligation under §9; and (iv) a party’s willful misconduct or fraud. If a Customer’s counsel requires it, gross negligence will be added as an Excluded Claim by amendment; ordinary negligence stays inside the cap.
9. Mutual, narrow indemnity
American National will defend you against a third-party claim that the unmodified Service infringes a U.S. patent, copyright, or trademark, or misappropriates a trade secret, and will pay damages and costs finally awarded or a settlement we approve. We have no duty to the extent the claim arises from Customer Content, a combination we did not supply, or use after we notify you to stop.
You will defend American National against a third-party claim arising from Customer Content; your use of the Service or an Output in breach of these Terms, including any representation that an Output is a certification, a survey, legal advice, or American National’s professional opinion; or your violation of law.
The indemnifying party’s duties apply only with prompt notice, exclusive control of defense and settlement, and reasonable cooperation. This Section replaces any one-way customer indemnity in prior terms as to paid use.
10. Data Processing Addendum
If you require a signed DPA, the Proofle DPA is incorporated when both parties sign it or when you accept it in the product. It does not change the no-retention and no-training promise in Part A §6.
PART C — FREE PUBLIC TOOL AND PLUG-IN
Part C applies to use without a paid plan: proofle.com/review, a free account, and the plug-in on the free allowance. Part A applies as well.
Free use is capped as in Part B §2. We may change, throttle, or withdraw the free tool at any time. There is no service level.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMERICAN NATIONAL’S TOTAL LIABILITY FOR FREE USE WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100). THE DISCLAIMERS IN PART A APPLY IN FULL. OUR INFRINGEMENT INDEMNITY DOES NOT APPLY TO FREE USE.
PART D — ADJUDICATED REVIEW (IF OFFERED)
An Adjudicated Review, if offered, is not software. It is a separate professional-services engagement: a Proofle review plus a signed ruling on each FAIL and RECOMMEND by a licensed American National surveyor, at the then-current fee. It is delivered under American National’s professional-services terms and, to the extent of the policy, professional E&O — not under the software cap in Part B §8.
Scope is a ruling on the software findings. It is not a re-survey, not a new certification of the original survey, not American National taking over as surveyor of record, and not legal advice. If this Part D conflicts with the professional-services terms on that engagement, the professional-services terms control for that engagement only.
EXHIBIT A — REPORT DISCLAIMER
Proofle is a first-pass QA aid. It flags items for your review and does not certify the survey; the final review is your team’s.
This report is advisory software output. It is not a land survey, not a surveyor’s certification, not an examination of title, and not legal advice. PASS means only that the software did not flag the item on the documents supplied — not that the item is verified. Do not rely on this report for a closing, loan, or insurance decision without independent review by the surveyor of record and by qualified counsel or a title examiner. American National Commercial Real Estate Services, INC. accepts no professional duty to any relying party by issuing this report. No third party may rely on it.
Historical wrong-FAIL rate (share of items an experienced American National reviewer had passed that Proofle marked FAIL) as of 12 September 2026: 6.25% on 592 items over four weekly runs. Historical measurement only. Not a guarantee of future performance. Not a representation of completeness.
